Terms and conditions

The terms on which MB Tilfortis (Tillforty) provides workshops, implementation and custom development services. Last updated: 5 November 2026.

1. Who we are

These terms apply to services provided by MB Tilfortis (brand name Tillforty), company code 304448018, registered at Jurbarko g. 2A, Kaunas, Lithuania. Contact: hello@tillforty.com, +370 677 83305. In these terms "we" means Tillforty and "you" means the organisation that orders the services.

2. What these terms cover

They cover the use of this website and, unless a signed agreement says otherwise, the three services described on it: Copilot workshops by role, implementation of Copilot and Microsoft tools, and custom applications for your own processes. Where a signed services agreement, order form or data processing agreement conflicts with these terms, that document takes precedence.

3. Offers, orders and the contract

Nothing on this website is a binding offer. After an initial call we send a written proposal setting out the scope, the deliverables, the fixed price and the timeline. A contract is formed when you accept that proposal in writing. Work outside the agreed scope is quoted separately before it starts.

4. Prices and payment

  • Prices are quoted in euros and exclude VAT unless stated otherwise.
  • Workshops and pilots are charged at the fixed price in the proposal. Ongoing maintenance is charged monthly.
  • Invoices are payable within 14 days of the invoice date.
  • Late payment may attract statutory interest, and we may suspend services after written notice.
  • Microsoft licences, cloud consumption and third-party fees are yours unless the proposal says we resell them.

5. What we need from you

Delivery depends on your cooperation. You agree to give us the access, environments, test data and named contacts the proposal identifies, to make decisions and approvals within the agreed time, and to tell us about any internal rule, regulator requirement or third-party contract that affects the work. Timelines move if this is delayed.

6. Intellectual property

On full payment you own the deliverables built specifically for you: configurations, prompts, workflows and bespoke application code. We keep ownership of the know-how, methods, templates and the Oaura and Noium platforms used to produce them, and you receive the licence to use them that the proposal describes. Nothing here transfers rights in Microsoft or other third-party software.

7. Confidentiality

Each side keeps the other's confidential information in confidence, uses it only to perform the contract, and shares it only with staff and subcontractors who are bound by equivalent obligations. This continues for 5 years after the contract ends. Public information and information a party must disclose by law are excluded.

8. Personal data

When we handle personal data on your behalf we act as a processor and you remain the controller, under a separate data processing agreement. Our own handling of personal data is described in the privacy policy.

9. How AI is used in the services

  • Solutions run inside your own environment and under your access rights.
  • A person approves every important action; we build the approval step into the workflow.
  • We do not use your data to train AI models, and we configure the services so that your providers do not either.
  • AI output can be wrong or incomplete. It supports your staff and does not replace professional judgement, and you stay responsible for decisions made on it.
  • Where the law requires people to be told they are dealing with AI, we help you set up that disclosure.

10. Warranty and liability

We provide the services with reasonable skill and care and will re-perform defective work reported within 30 days of delivery. Beyond that we give no implied warranties. Neither side is liable for indirect or consequential loss, lost profit or lost data, and our total liability under the contract is capped at the fees you paid in the 12 months before the claim. Nothing limits liability that cannot be limited by law, including for intent or gross negligence. Our work is covered by professional liability insurance.

11. Term and termination

Fixed-scope work ends on acceptance of the deliverables. Monthly maintenance runs until either side gives 30 days' written notice. Either side may terminate immediately for a material breach that is not remedied within 14 days of written notice. On termination you pay for work done up to that date, and we hand over the deliverables, credentials and documentation.

12. Changes to these terms

We may update these terms for new orders. The date at the top shows the current version; the version in force when your proposal was accepted governs that contract.

13. Governing law and disputes

These terms are governed by the law of the Republic of Lithuania. We will try to settle any dispute by negotiation; failing that, it is resolved by the competent court of the Republic of Lithuania at our registered office.
